Biography

Josh advises clients on a broad range of transactional issues, including business combinations, securities compliance and corporate governance matters. Before entering business school and law school, Josh had a successful career in sales and operations management with a national construction industry wholesaler.

Josh's Relevant Experience

Corporate Matters

Josh regularly advises public company clients in various corporate matters, including:

  • Transactional and financing matters, including registered and unregistered offerings of equity and debt
  • Mergers, acquisitions and divestitures
  • SEC compliance and reporting
  • Corporate governance and fiduciary obligations
  • Investor relations and institutional governance

Investment Advisor & Hedge Funds

Josh also regularly advises investment advisor and hedge fund clients with state and SEC registration and with SEC and FINRA compliance and reporting, and he also regularly advises private investment fund sponsors in organizational, capital raising and ongoing governance matters.  Assets in these investment funds include:

  • Real estate
  • Tax liens
  • Cannabis-industry businesses
  • Life Settlement Contracts

Entrepreneurs, Start-ups & Closely Held Companies

Josh also assists entrepreneurs, start-ups and larger, closely-held companies with general business and corporate matters, including:

  • Entity selection, formation and organizational matters, including operating agreements, shareholder agreements, and buy-sell agreements
  • Private placements and offering memoranda
  • Acquisitions, dispositions and joint-ventures
  • Governance and other general corporate matters

Representative Matters

Josh’s representative matter experience includes:

  • Advised a large imaging center client in a multi-million dollar multi-stage asset liquidation
  • Assisted a major telecommunications client to go public through a reverse merger transaction with a public shell company
  • Advised a $1 billion home health provider in “going public” through a two-step tender offer
  • Advised a home health provider in its registration of a $200 million debt offering and subsequent SEC debt registration and exchange
  • Advised clients in the combination of two SEC registered investment advisers
  • Advised the underwriter in a bank’s registration and sale of a $30 million debenture offering
  • Assisted multiple real estate investment fund sponsors with fund formation and capital raising matters
