Private Funds & Investment Partnerships
Our private funds lawyers advise fund sponsors and investors across a broad spectrum of asset classes, including private equity, real estate, venture capital, hedge, credit, and tax liens. We help them anticipate and strategically solve for the issues facing these private investment funds as well as the limited partners and other investors who invest in those funds.
Our deep experience across key sectors in which private funds actively invest allows us to provide clients ready access to attorneys who focus on transactions, operations and regulatory matters in industries such as healthcare, manufacturing, mobility and transportation, energy, franchise, and commercial real estate. This industry focus enables us to provide practical advice to both fund sponsors and their investment portfolios.
Service Area Contacts
We have a wealth of experience advising fund sponsors in all aspects of private funds, across a variety of asset classes. Because of this, we appreciate the need to tailor advice to the industry and asset class of the fund. We excel at helping clients identify and implement the most appropriate structure for organizing their business and fund offerings, including selecting the optimal jurisdiction and legal structure.
Our transactional team regularly represents private fund clients in the structuring, due diligence, negotiation, and consummation of investments, along with the post-closing ownership, management, and ultimate disposition of those investments — whether in a successful liquidity event or through a more distressed realization or winding down. We also regularly represent not only the funds that provide private capital, but also the portfolio companies, management teams, and boards of director who use that capital to acquire, create, and grow businesses.
In addition, we have significant experience as outside counsel to the portfolio companies of our private fund clients, as well as the portfolio companies of other non-client sponsors who trust us with their portfolio company engagements. Our full-service approach and industry-specific experience make us a true asset to investors, as we’re able to provide portfolio companies with day-to-day counsel on any issues that arise.
