Hamid is a member in the Real Estate Practice Group at Frost Brown Todd with a focus on commercial real estate and lending transactions in the multifamily and retail industries. His extensive experience with multifamily and retail transactions allows him to better foresee, understand and mitigate the risks that challenge his clients’ businesses and investments. Additionally, as a multifamily investor and one of the leaders of the firm’s Multifamily Housing Industry Team, Hamid stays abreast of market developments and appreciates the importance of being responsive and pragmatic in order to get the deal closed.
Hamid’s transactional practice also includes representing clients on the acquisition, financing, development, leasing, management and disposition of health care facilities, industrial developments, farm properties and all other types of commercial real estate.
In addition to closing transactions, Hamid regularly represents clients in real estate and lending litigation and pre-litigation conflict resolution. Hamid also advises his clients on their land use and zoning needs.
Hamid routinely represents multifamily syndicators, investors, owners, operators and borrowers on the acquisition, financing, operation, refinancing and disposition of market rate and work force housing properties located in Kentucky and throughout the United States, including serving as national real estate counsel to an investment firm that specializes in value-add acquisitions.
Hamid frequently represents landlords and tenants involved in complex retail developments, including the leasing and management of a Class A Power Center, the leasing and other deal work for a national credit tenant, and the development of a large entertainment complex in downtown Lexington, Kentucky.
Hamid regularly represents health care providers, including physician practices, hospitals and a fast-growing behavioral health service provider, in acquiring and managing their real estate needs.
Hamid, as national real estate counsel for three publicly traded companies, has negotiated, documented and closed leasing transactions on warehouses and distribution facilities located across the country and has advised these clients on operational issues during the term of their leases.
Hamid regularly represents international and national lenders, regional and community banks, borrowers, investors and guarantors in closing loans secured by real estate located in Kentucky and throughout the United States.
Hamid also regularly represents clients in general business and corporate matters, including entity formation, the drafting of operating agreements and other organizational documents, negotiating procurement agreements and other contracts, and the sale and acquisition of membership interests and other equity stakes.
Hamid frequently represents clients in all types of real estate and lending disputes (inside and outside of court), including actions to quiet title, foreclosures, lease disputes, writ of possession suits, breach of contract cases, post-judgment collections, defense of lender liability claims, defense of borrowers and pre-litigation loan workouts.
Hamid regularly represents and advises clients in regard to their land use and zoning matters, including map and text amendments, conditional use permits, development plan approvals and the removal or modification of private covenants and restrictions.
At trial and on appeal, Hamid successfully represented Rite Aid Pharmacy in a lease dispute by establishing new Kentucky precedent on the types of privities that arise out of a lease agreement. Foursome Properties, LLC v. Rite Aid of Kentucky, Inc., No. 2016-CA-000414-MR, 2018 WL 1439830 (Ky. Ct. App. Mar. 23, 2018).
