Long-Term Care Facilities

We counsel clients concerning the establishment, operation, acquisition or sale of senior living, acute care and long-term care facilities. With respect to acquisitions and sales, we help clients obtain the strongest position on items of particular significance to acquisitions involving long-term care facilities. This includes seller’s representations and warranties, the billing of private and governmental payors and seller’s indemnification obligations in the event of a contract or warranty breach. In addition, we work with the executive teams of large networks to ensure their facilities remain in compliance with state/federal regulations and help them address human resources issues as well, particularly benefit plan compliance and labor and employment-related litigation.
