With over 18 years of Intellectual Property experience, Cindy represents her clients in all aspects of IT systems, software and services licensing and acquisition. Her extensive insight into the IP realm has helped her clients by enabling her to find and neutralize the traps that are frequently present in IT agreements and to move the deal along in a manner consistent with the larger goal.
Most recent deals have been in the health care and financial industries. As health care entities are diligently working to enable electronic medical records to achieve “meaningful” use, Cindy helps her clients put in place implementation schedules and incentives and/or penalties that are tied to the EHR incentive deadlines and other relevant regulatory and internal timelines. In the banking industry, clients are always seeking to better automate backend, front-end and internal processes while ensuring data and NPI security, and Cindy works with these clients to minimize risk and maximize investment dollars.
In addition to her health care and banking IT experience, Cindy’s work extends across all fields of business, including manufacturing and purchasing organizations as well as the QSR food industry. Within the past year, Cindy was involved in the negotiation and roll-out of a private, high-speed internet network in the food-service industry that encompassed over 6,000 locations across the continental United States.
She also manages large IP portfolios for U.S. based and international brands. These brands are registered worldwide and require enforcement in the U.S. and abroad. Cindy works with other firm intellectual property lawyers to manage these portfolios in a cost-efficient yet effective manner.
Prior to moving into the Intellectual Property field at Frost Brown Todd, Cindy spent nine years doing mergers and acquisitions work, primarily in the banking field. This background in transactional work proves valuable when negotiating and executing larger IT deals.
Assist in all aspects of a new technology roll-out, including the negotiation of software licenses (or, alternatively, acquisition/development of software), of agreements for implementation services and contract labor, and end-user licenses and click through agreements.
Assist in strategy to protect well known brands in consumer and commercial markets, including home and office furnishings and other home related consumer products. We successfully assisted our clients in thwarting knock-offs through legal attacks on multiple legal fronts, including trademark, trade dress, false affiliation, design patent and copyright
Assist in the management of large IP portfolios, including enforcement, assistance with expansion and cost saving strategies, and the negotiation of strategic co-existence or license agreements.
Assisted client in the hospitality industry in an 8-month long negotiation and 24-month roll-out of a private high speed internet network encompassing over 6,000 locations across the continental United States.
Represented technology provider client in 10-month long extensive negotiation with a Fortune 500 company in the health care field.
