Biography

Jay advises and assists clients at every stage of business operation, including entity selection and formation, negotiating and drafting Shareholder/Operating Agreements, seeking out investors, reviewing acquisition targets, advising on reorganization options, preparing business succession plans, and selling the business or its assets. Jay is dedicated to learning the ins and outs of his clients’ businesses in order to tailor advice to each client’s needs. During his career, Jay has gained significant experience representing both buyers and sellers in substantial mergers and acquisitions across a wide variety of industries, including construction, real estate, consulting firms, automotive dealerships, restaurants, and breweries.

Jay is dedicated to giving back to his community, having spent summers working with the Legal Aid Society of Louisville and Partners in Housing in Indianapolis, and recently serving as President of the Board of Directors at Big Brothers Big Sisters of South Central Indiana. In his spare time, Jay enjoys traveling, attending sporting events, playing golf, and spending time with his wife, Hilary, and their two dogs, Odin and Albus.
